The name of the club shall be ‘Runswick Bay Beach and Sailing Club' and its headquarters shall be at Runswick Bay or at such other places as may from time to time be fixed by a majority of the voting members assembled in General Meeting. Its objects shall be the encouragement of the yachting and boating and the promotion of social intercourse amongst its members. In furtherance of these objects it shall be lawful to expand the funds of the club(inter alia) in prizes for sailing or for other aquatic sports, in the purchase of renting land, houses or premises for club purposes, in the purchase and maintenance of a yacht or yachts and a boat or boats for the use of its members, in the holding of regattas and for all other such objects and purposes within the scope of the club as shall be approved by a majority of the Voting Members from time to time assembled in general meeting. The club is a non-profit making organisation. All profits and surplus will be used to maintain or improve the club’s facilities. No profit will be distributed other than to another non-profit making body or to voting members on the winding up or dissolution of the club.
The club shall consist of the classes of Members listed hereunder. Only Full Members, Honorary Life Members, President and Vice Presidents shall be entitled to vote at any General Meeting of the Club.
The classes of the Members are defined as follows: -
VOTING MEMBERS
President
The Club in Annual General Meeting or Special General Meeting shall have the power to appoint a person recommended by the General Committee to be President and such appointment shall be held until the resignation or until its termination at an Annual General Meeting or Special General Meeting.
Vice President
The Club in Annual General Meeting shall have the power to appoint a Voting Member recommended by the General Committee to be a Vice President in recognition of his services at the Club. Such and appointment shall be for a period of seven years subject to resignation. A retiring Vice President can not be considered for re-appointment until one year has elapsed since his previous appointment expired. Vice Presidents shall be entitled to attend and vote at meetings of General Committee.
Honorary Life Members
The club in Annual General Meeting shall have the power to appoint a Voting Member recommended by the General Committee to be a Honorary Life Member in recognition of his services to the Club.
Full Members
A duly elected Member who regularly participates in the sailing activities of the club or Candidates elected as full subscription paying Members who do not participate in the Sailing activities of the Club.
NON VOTING MEMBERS
Family Associate Members
The wife / husband or Partner of a duly elected Voting Member can be elected at Annual General Meeting to serve on and be entitled to vote on any sub- committee to which they have been elected.
Cadet Members
Minors of both sexes between the age of 14 and 18 years when subscriptions become due.
Student Members
Students over the age of 18 years when subscriptions become due, and can be elected at Annual General Meeting to serve on and be entitled to vote on any sub-committee to which they have been elected.
Special Members
The General Committee may from time to time grant Special Membership to Voting Members who no longer wish to use the Club's facilities on a regular basis and who have been Voting Members for a substantial period and/or have rendered significant services to the club.
Associate Members
Duly elected Members being Members of another Sailing Club with which Runswick
Bay Beach and Sailing Club has an agreement for mutual Associate Membership.
Day/Temporary Members
Visitors of the Club for a period not exceeding three weeks in any one year. Their names must be entered in the Visitors Book.
Social Members
May join as Social Member when a Full Member has proposed and seconded the applicant it is expected that the Social Members serve one duty day per season.
The Officers of the Club shall consist of a Commodore, Vice Commodore and Rear Commodore (hereinafter called Flag Officers), for which only Full Members shall be eligible, together with Honorary Secretary and Honorary Treasurer.
All property of the Club shall be vested in Trustees who shall not be less than three in number. Such Trustees shall remain in office until death or resignation, or until a General Meeting of the Voting Members convened for the purpose shall think proper to remove any or all of them and to elect any new Trustee or Trustees in his or their place. Subject to the foregoing all Trustees shall be elected at and removable by the Annual General Meeting after due notice. All securities shall be taken and investments made in the name of the Trustees. All property vested in the Trustees shall be subject to the disposition of the Committee and an order in writing signed by three Members of the committee and certified by the Chairman and the Hon. Secretary, as having been confirmed by a General Meeting, shall be obligatory upon and a justification to the Trustees as to the matter comprised in such order relating to the investment sale or disposition of the trust property.
All Officers shall be elected annually at the Annual General Meeting, if any office in the Club becomes vacant previous to the next Annual General Meeting, the Committee may elect a Voting Member to fill such vacancy until the next Annual General Meeting.
The general Committee shall consist of the Officers of the Club who shall be elected at the Annual General Meeting, nine other Members, who shall be voting members, together with the Rear Commodore who shall serve period of two years. Four Members of the General Committee will be appointed for the following duties: Sailing, House, Social and Bar. They will then form Sub- committees. Five Members shall form a quorum. The senior Flag Officer present shall take the chair at the Meeting of the General Committee or if no Flag Officer is present the senior Member of the Committee.
Duties of Sub-Committee: -
Sailing: All water sports activities.
Sailing Officers roster.
Safety boat service. Improvements in sailing facilities.
House: Managing the premises including bar and car park. Bar Duty Officer roster.
Improvement in Club facilities.
Social: Organization of all club social activities. Web site
The committee shall manage the affairs of the Club according to the rules. They shall arrange the programme of races and other Club fixtures and see that they are carried out in a proper manner. They shall, subject to the rules, have power to make and alter bye-laws from time to time for the better regulation of the Club which shall be binding until rescinded by a General Meeting of the Club. They may appoint Sub-Committee for various purposes from their own number, with power to co-opt. They shall control the investment and expenditure of all Club funds and generally control and manage the property and employees of the club. They may delegate the Sub-Committees elected for any special purpose such of their powers as they may consider desirable. They may elect new members by ballot and may deal with any business which, by reason of there being no quorum at a Special General Meeting, is subject (in their judgement) to delay detrimental to the interests of the club. They shall fix the date, time and place of their own meeting, by any two members of the Committee by giving twenty-four hours notice in writing to the Honorary. Secretary, stating the object of such meeting, may have a Committee Meeting within seven days of such notice.
The Honorary Secretary shall keep minutes of all Meetings and (supported by the membership secretary) a Register of Members. He shall submit to the Annual General Meeting a balance sheet which shall previously have been drawn up by the Honorary Treasurer and audited by the Honorary Auditor who shall have been elected at a previous General Meeting together with a report on the status of the Club. He shall pay the subscriptions and all other monies received by him to the treasurer. He shall keep insured against all insurance risks Club property committed to his charge. He shall exercise such powers as may from tune to time be delegated to him by the committee. He shall ensure that all members are aware of the club Rules and bye-laws and new members have copies sent to them.
The Honorary Treasurer shall keep accounts of all receipts and expenditure He or the Honorary Secretary shall furnish receipts of Members and others for all monies received and shall not make payments to any person without the approval of the committee. Cheques shall be countersigned by the Honorary. Secretary He shall draw up the balance sheet to the financial year end which will be the 31st October prior to the Annual General Meeting in each year.
The Honorary Auditor or Qualified Accountant shall audit the accounts of the Club prior to the Annual General Meeting and at other such times as the Committee may by resolution direct.
The Annual General Meeting of the Club shall be held by the 31st January in each year at such place and hour as the committee may appoint. Special General Meetings may be called at any time by order of the Committee or on a requisition signed by at least 10% of the Voting Members of the Club, such a requisition to state the object of the proposed meeting. Seven days notice of a special General Meeting shall be given to the Members by circular stating the object and business of the proposed Meeting Ten Voting Members, (of whom eight must be Sailing Members), shall form a quorum at all Special General Meetings and the decisions of the majority of the Voting Members present shall be binding on those absent or dissentient unless a poll demanded by two fifths of the Voting Members present when the Meeting shall stand adjourned for seven days, in order that a poll may be taken.
The Commodore, if present, shall preside at all meetings of the Club and of the Committees of the Club and in his absence the senior Flag Officer or Senior Member of the Committee present.
The Chairman at any General or Committee Meeting of the Club where there is an equality of votes shall have a casting vote in addition to his own individual vote:
15. POLITICS – RELIGIONNo political or religious subject shall be discussed at any meeting.
A completed proposal form will be sent to the Secretary along with the appropriate fee for approval or rejection by two Members of the General Committee.
Every Member, upon joining the Club, becomes entitled to all the benefits which it imparts and his acquiescence in the rules now in force or to be enacted by the club (an institution to which he voluntarily attaches himself) is hereby distinctly implied as well as his submission to the restrictions and obligations prescribed by such rules. The Book of Rules shall be affixed to the notice board at the Club premises but no Member shall be absolved from the observance of these rules on any allegation of not having read them.
Members wishing to resign shall give notice in writing to the Honorary Secretary.
Any impropriety of conduct by a Member, either in or out of the Club House or any infraction of the rules may be taken cognizance of by the Committee, who shall give Member affected notice of the matter complained of and shall appoint a time when and a place where the same will be taken into consideration. The Member affected shall be entitled to be present at such meeting to hear all statements affecting him made to the Committee and to make counter statements and to produce evidence on his own behalf and after consideration by the Committee he shall be brought before a Special General Meeting at which the committee's report therein shall be read and discussion invited and a ballot taken on the question "Shall a Member (naming him) be expelled from the Club?" Scrutineer's shall be appointed and if two thirds of the Voting Members present vote in the affirmative the Member shall be declared expelled. The Committee may recommend a Member to resign as an alternative to the proceedings at a Special General Meeting.
A scale of Entrance Fees shall be prescribed from time to time by the General Committee. The Annual Subscriptions for all classes of Members shall also be fixed from time to time by the Committee and shall be due in advance on the first day of April in each year and the Honorary Secretary shall inform all Members whose Subscriptions are unpaid on the 31st May of such Subscriptions being overdue. The Subscriptions and Entrance Fees of Candidates for membership shall accompany their applications and will be refunded if the application is not accepted.
No Member whose subscriptions are in arrear on the 30th June shall be entitled to the use of the Club's privileges or property and his name be posted on the notice board, nor shall he be entitled to vote at any Meeting of the Club, nor compete for any of the prizes offered by it If his subscriptions be not paid by
30th September the Committee shall be empowered to cancel his Membership. No Member who has been expelled from the Club whatever cause, or who retired there from in consequence of any disagreement, shall be permitted to compete at any of the regattas of the Club without special permission of the Committee.
Members may, subject to the bye-laws for the time being in force, personally introduce friends as visitors to the Club. The name and address of each visitor shall be entered in the Visitors Book together with the name of the Member introducing him.
In case of the conduct of any visitor in the Club House being injurious to the character and interests of the Club he shall, on request, leave the premises.
No addition to, alteration, or amendment of these rules shall be made except at an Annual or Special General Meeting and by a majority of two thirds of the Voting Members present thereat. Notice of any proposed addition, alteration or amendment shall he given in the circular convening the Meeting.
The Club Flag shall be of blue pennant with a white Albatross. The Commodore's pennant will bear the device of the Club with Swallow Tails; the Vice-Commodore, the same with the addition of a white Bull in the upper comer next to the hoist. The ensign shall be red.
The Club House shall not be used for Gambling, The Hours of opening and closing the bar shall be permitted hours of the Licensing Justices / Scarborough Council
If at any General Meeting a resolution for the dissolution of the Club shall be passed by a majority of the Voting Members present and such resolution shall be passed at a Special General Meeting held not less than one month thereafter by a majority of not less than two thirds of the Voting Members present, the Committee shall thereupon or at such future date shall be specified in such resolution proceed to realise the property of the Club and after the discharge of all liabilities shall divide the same equally among all Voting Members and upon completion of such division the Club shall be dissolved.
NB. INSURANCE
The Club has effected Public Liability Insurance to indemnify the Club and its Officials against claims for injury to persons and/or damage to property arising from Club Activities and due to the negligence of the Club and its Officials. Such Insurance does not cover the liabilities of individuals who are strongly advised to ensure that their own policies cover not only their craft but also liabilities to third parties, which may arise. Members are reminded that the Club has not arranged insurance for theft of property belonging to individuals or for personal accident benefits. Individuals requiring such over should make their own arrangements.
